Terms
Becoming An Affiliate
To become an Affiliate, the prospective Affiliate will submit an application to Motorcycle Junction through Motorcycle Junction.co.uk.
Motorcycle Junction will evaluate that application and at its' sole discretion will either accept or reject the application. Potential reasons for rejection include (but are not limited to) that an Affiliate site is unsuitable on the grounds of publishing sexually explicit material, contains racist or sexist content or promotes illegal practices.
Method of Affiliate Linking
Motorcycle Junction provides banner and text links that the Affiliate is invited to place on their site by means of copying the code provided. Once this code is placed into the Affiliate site it will create banner or text links to Motorcycle Junction.co.uk. The Affiliate must not alter the design of these banner or text links in any way. Should an Affiliate desire a different style of link for their site then a request should be made to Motorcycle Junction - a contact email address will be provided on acceptance into the program.
Tracking Sales
Motorcycle Junction will undertake sales tracking and be solely responsible for this function. The Affiliate is solely responsible for ensuring that the banner and text ad code is formatted properly and entered correctly on the Affiliate Site. Motorcycle Junction can take no responsibility for improperly formatted code. Sales tracking data and other statistical information can be accessed in real time by the affiliate by logging in to the stats area. The URL will be provided by email on acceptance into the programme.
Cookies and IP Tracking
Tracking will be by cookie and IP address. Motorcycle Junction will make commercially reasonable efforts to download a cookie onto the computer of each user who accesses Motorcycle Junction.co.uk that will contain information capable of identifying a user as having linked to Motorcycle Junction.co.uk from a specific Affiliate Link.
Commissions
Motorcycle Junction will pay to the Affiliate 50% of the first subscription fee and all subsequent subscription renewal fees for any referral sent to Motorcycle Junction.co.uk through the unique Affiliate Link. In other words, the Affiliate earns 50% of all subscriptions paid by a subscriber, including subscription renewals.
Commission is NOT payable on any items in the Motorcycle Junction online shop nor any of our biking holidays.
Commission from the Motorcycle Junction affiliate program is ONLY payable on subscriptions purchased by your referals.
Commission Payments and Processing
Motorcycle Junction will pay commissions on a monthly basis by cheque in GB Pounds (£) subject to a minimum value of £100. If an affiliate has not earned £100 in commissions then the amount earned will be carried forward to the next month and so on until a minimum value of £100 has been achieved. Cheques will be posted on the 15th (or the first working day after the 15th) of the month to include all Validated Commissions from the previous calendar month. As an example, all Validated Commissions earned in January will be paid by cheque leaving our offices on 15th February (or the first working day after the 15th February).
Motorcycle Junction operates a self-billing system. This means that Motorcycle Junction will prepare your invoice on your behalf, subject to £100 of commission payments having been validated in the preceding month. If an affiliate has not earned £100 in commissions then the amount earned will be carried forward to the next month and so on until a minimum cheque value of £100 has been achieved and then an invoice will be produced. A copy of this invoice will accompany your commission cheque. However, you may view commissions earned in real time by logging in to your Affiliate stats area.
A self-billed invoice can only be issued under an agreement between you, the Affiliate, and Motorcycle Junction. By agreeing to the terms and conditions in your affiliate application you agree to us operating this self-billing system for the duration of this agreement.
As a result there are various rules that the parties to this agreement must abide by:
You must advise Motorcycle Junction immediately if you transfer your business to a new owner.
You will not raise your own invoices as Motorcycle Junction will do this on your behalf.
Motorcycle Junction will send you self-billed invoices to include your name, company name, address together will all other necessary details that are required.
Credit/Debit Card Declined Payments, Refunds, Chargebacks
Any commissions earned, where credit or debit card payments are subsequently declined by the card issuer or refunds are given or chargebacks occur may be deducted from future Affiliate commission payments including any refund, chargeback or credit/debit card transaction fees.
Subscription Pricing
Motorcycle Junction reserves the right to change subscription pricing, the terms of use of the site, the service and subscription renewal policy at its' sole discretion.
Affiliate Conduct
The Affiliate agrees not to SPAM (send unsolicited emails), or do or cause anything to be done that would damage the reputation or brand image of Motorcycle Junction. Failure to adhere to the terms of this agreement may result in immediate termination of this agreement.
Downtime
Motorcycle Junction shall have no liability to you for any damage or any delay to the Motorcycle Junction Affiliate Program caused by any event or circumstance beyond the reasonable control of Motorcycle Junction including, without limitation, strikes, lock-outs and other industrial disputes, breakdown of systems or network access, flood, fire, explosion or accident.
Liability
Motorcycle Junction's liability is excluded and/or limited to the extent set out below. However, none of the exclusions or limitations in these conditions excludes or limits the statutory rights of the Affiliate.
Motorcycle Junction shall not be liable to the Affiliate for any consequential, special, indirect, economic and/or similar losses (including loss of profit or revenue) from the use of this Affiliate Program or agreement. Motorcycle Junction total liability arising from this agreement and the use of the Affiliate Program will not be greater than the total commissions either paid or payable to the Affiliate under the terms of this agreement.
Motorcycle Junction is providing Motorcycle Junction.co.uk on an 'as is' basis and makes no representations or warranties of any kind with respect to Motorcycle Junction.co.uk or its contents and disclaims all such representations and warranties. In addition, Motorcycle Junction makes no representations or warranties about the accuracy, completeness or suitability for any purpose of the information or related graphics published in Motorcycle Junction.co.uk. The information contained in Motorcycle Junction.co.uk may contain technical inaccuracies and typographical errors. All liability of Motorcycle Junction howsoever arising from any such inaccuracies or errors is expressly excluded to the fullest extent permitted by law.
Neither the Motorcycle Junction nor any of its employees or other representatives will be liable for loss or damage arising out of or in connection with the use of Motorcycle Junction.co.uk. This is a comprehensive liability that applies to all kinds of damages of any kind, including (without limitation) compensatory, direct, indirect or consequential damages, loss of data, income or profit, loss or damage to property and claims of third parties.
In no circumstances will Motorcycle Junction be liable to the Affiliate for any direct, indirect, consequential, special or other damage howsoever resulting from the use of Motorcycle Junction.co.uk or any other web-site connected to the Site by means of a hypertext link or otherwise, whether such damage is caused by transmission from this web-site (or a connected web-site) to the Affiliate's computer system, of viruses, worms, Trojan horses or other destructive items, corrupted data or data incompatible with the Affiliate's computer system. Such damage shall include (without limitation) loss of profits, interruption to business, loss of the whole or any part of the programme or programmes, or of any data howsoever stored, whether saved in a computer system or otherwise.
When providing data to Motorcycle Junction, you do so on the understanding that there is a risk that third parties may access that data. When providing information to Motorcycle Junction you do so on the basis that you shall bear the risk of any harm resulting from third parties accessing or intercepting that data. Save insofar as is required by statute, Motorcycle Junction shall not be liable for any harm caused by third parties accessing or intercepting your data.
Term
The terms of this agreement will start once the Affiliate has been approved by Motorcycle Junction. This will be signified by an email sent from Motorcycle Junction.co.uk to the affiliate containing a unique affiliate URL. The agreement will remain in force until either party terminates the agreement as detailed below.
Modification
Motorcycle Junction reserves the right to make variations to these terms and conditions from time to time as may be necessary. Where such variations are to be made by Motorcycle Junction, Motorcycle Junction will post a new affiliate agreement and notify you by email to the email address provided by you. If the variations are unacceptable to the Affiliate then the Affiliate's only recourse is to terminate this agreement. Continuing to take part in this affiliate program following notification of a variation to the terms and conditions will signify the Affiliates' acceptance of the variations in their entirety.
Independent Investigation
The Affiliate agrees that they have independently evaluated this program and that they have only relied upon representations and statements as set out in this affiliate agreement.
Copyright of Materials
All brand names, product names, titles, trademarks, trade-names, designs and copyrights used on Motorcycle Junction.co.uk are owned by or licensed to Motorcycle Junction. This agreement grants to the Affiliate a limited, non-exclusive, revocable licence to place banner and text adverts on the Affiliate site as provided by Motorcycle Junction in the 'Linking Code' tab of the Affiliate admin area. The Affiliate agrees not to alter these images or code in any way. Failure to comply with this will result in immediate termination of this agreement.
Use of Profiles
Affiliates must not display any part of a Motorcycle Junction.co.uk users profile on their website or anywhere else. Failure to adhere strictly to this policy will result in this agreement being terminated.
Termination of Agreement
The Affiliate or Motorcycle Junction may cancel this agreement at any time. Notice will be given to the last known email address of the Affiliate by the Company. Affiliates may cancel their own account in their individual admin area or request that the Company undertakes this on their behalf. Motorcycle Junction undertakes to pay any commissions properly due under this agreement until such termination.
Motorcycle Junction.co.uk Database
The Motorcycle Junction.co.uk user/subscriber database is the sole property of Motorcycle Junction. Affiliates will have no claim or rights, either directly or indirectly, to the database.
Independent Contractor Relationship
Motorcycle Junction and the Affiliate agree that the parties are independent contractors. This agreement will not, nor is it intended to create any type of franchise, agency, joint venture, partnership or employment relationship between the parties.
Assignment
The Affiliate agrees not to assign this agreement.
Invalidity
If any clause or part of a clause of this Contract is determined to be illegal, invalid or otherwise unenforceable, that clause or part of a clause shall be severed from the remaining provisions which shall remain in force and continue to have binding effect. If a clause or part of a clause is illegal or invalid only in certain circumstances or to a certain extent, it shall remain in force and continue to have binding effect outside of those circumstances and to the extent that it is not illegal or invalid.
English Law
This Contract shall be governed and interpreted in accordance with the laws of England and Wales and the courts of England and Wales shall have exclusive jurisdiction to resolve any disputes arising in respect of this Contract.
Entire Agreement
The law has a strong preference for written terms, and where a binding written contract exists, the parties' rights and obligations will normally be determined solely by reference to its written terms. You should therefore read this Contract carefully and ensure that it contains everything that you want included and nothing to which you are not prepared to agree. If you are in any way unhappy with the terms of this Contract, you should not accept this Contract and not continue with your application to become a Motorcycle Junction.co.uk Affiliate.
